Acceptance of terms Please read this agreement carefully before using the services. They represent the terms and conditions (“Terms”) for using Longdan’s website. Using our website indicates that you accept the Terms. If you do not agree to these, then do not use our website. You are permitted to use our website solely on the basis of these Terms. We reserve the right, at our discretion, to update and/or revise these Terms. Please check periodically for changes. Our website is also made up of a number of stores (Retail and Wholesale Sites) and all orders /purchases made on our Sites will be governed by the specific product terms relevant to each store or, in their absence, these Terms. NOTHNG IN THESE TERMS AFFECTS YOUR STATUTORY RIGHTS. THIS IS AN AGREEMENT BETWEEN YOU AND LONGDAN - Use of the services USE OF THE SERVICES 1.1 Subject to the Terms of this agreement, you are authorised to view and download our website for your personal use only. LONGDAN may change, suspend or discontinue the Services at any time, including the availability of any feature, database, or content. LONGDAN may also, impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability. 1.2 You shall be responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access or otherwise use the Services, including, without limitation, modems, hardware, software, and long distance or local telephone service. 1.3 Any LONGDAN Retail Site may contain additional terms (for example conduct guidelines) that further govern the use of that LONGDAN site, including without limitation particular features or offers (for example competitions). If any terms contained in this agreement conflict with any terms contained within a LONGDAN Retail Site, then the terms of that site shall prevail. SITES CONTENT 2.1 All materials displayed or performed on the Retail Sites are protected by copyright, and owned or controlled by LONGDAN. You may not sell, transfer, modify, copy, transmit, distribute, display, reproduce, publish, licence or create works from the Sites or otherwise use them for any public or commercial use without our express written consent. 2.2 LONGDAN may change the Retail Sites or delete features in any way, at any time and for any reason. REGISTRATION & SECURITY 3.1 To register with Longdan.co.uk you must be over eighteen years of age. 3.2 You must ensure that the details provided by you on registration or at any time are correct and complete 3.3 You must inform us immediately of any changes to the information that you provided when registering by updating your personal details. MEMBER CONDUCT 4.1 You may not use any of our Sites for any of the following purposes: - disseminating any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material 4.2 Longdan reserves the right to refuse to post material on our Sites or to remove material already posted on the Website. INDEMNITY 6.1 You agree to indemnify and hold LONGDAN harmless from all liabilities, claims and expenses that arise out of the content you submit, post or transmit via LONGDAN sites, or from your use/misuse of the sites or the use/misuse by any person for whom you are responsible or from your violation of the terms. DEALERS WITH ADVERTISERS AND MERCHANTS 7.1 You agree that your dealings with, or participation in promotions of advertisers and merchants found on or through the service including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertisers or merchant, and you agree not to hold LONGDAN liable for any disputes you may have with such advertisers or merchant. LINKS 8.1 The service may provide, or third parties may provide, links to other World Wide Web sites or resources. As LONGDAN has no control over such sites and resources you agree that LONGDAN is not responsible for the availability of such external sites or resources and is not liable for the content found at such sites or resources. LIMITATION OF LIABILITY 9.1 This website and the Retail Sites and any software are provided on an “AS IS” basis, without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose or non-infringement. 9.2 LONGDAN assumes no liability for any viruses or any other disabling features that affect your access to or use of LONGDAN website. 9.3 LONGDAN assumes no liability for any incompatibility between the LONGDAN website and other web sites, services, software and hardware. 9.4 LONGDAN assumes no liability for any delays or failures you may experience in initiating, conducting or completing any transmissions or transactions in connection with the LONGDAN website. 9.5 LONGDAN assumes no liability for any modification, suspension or discontinuance of any of its websites, domain names or services. 9.6 LONGDAN ASSUMES NO LIABILITY FOR ANY USE OF THE SITES INCLUDING, WITHOUT LIMITATION, DIRECT, INCIDENTAL OR CONSEQUENTIAL LOSS OR DAMAGES WHETHER ARISING FROM ANY LOSS OF PROFITS, LOSS OF REVENUE BUSINESS INTERRUPTION, LOSS OF PROGRAMMES OR OTHERWISE. FORCE MAJEURE 10.1 Neither party shall be liable in damages or have the right to terminate this Agreement for any delay or default in performing hereunder if such delay or default is caused by conditions beyond its control including, but not limited to Acts of God, Government restrictions (including the denial or cancellation of any export or other necessary license), wars, insurrections and/or any other cause beyond the reasonable control of the party whose performance is affected. 10.2 Neither party shall be liable for any failure or delay in performance under this Agreement (other than for delay in the payment of money due and payable hereunder) to the extent said failures or delays are proximately caused (I) by causes beyond that party’s reasonable control and occurring without its fault or negligence, including, without limitation, failure of suppliers, subcontractors, and carriers, or party to substantially meet its performance obligations under this Agreement, provided that, as a condition to the claim of non-liability, the party experiencing the difficulty shall give the other prompt written notice, with full details following the occurrence of the cause relied upon. Dates by which performance obligations are scheduled to be met will be extended for a period of time equal to the time lost due to any delay so caused. LONGDAN INTELLECTUAL PROPERTY RIGHTS 11.1 The content of the Longdan.co.uk is protected by copyright, trademark, database and other intellectual property rights. You may retrieve and display the content of the Longdan.co.uk on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provided you keep intact all and any copyright and proprietary notices. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content on the Longdan.co.uk without written permission from Longdan.com. No licence is granted to you in these Terms and Conditions to use any trade mark of Longdan.co.uk or its affiliated companies including, without limitation, the trade marks LONGDAN, LONGDAN EXPRESS and LONGDAN.CO.UK. COMMUNICATIONS 12.1 From time to time, we may send to your LONGDAN email account (or to an alternate email account that you designate), information about changes or additions to the Services, or about any of our related products or services. TERMINATION 13.1 LONGDAN reserves the right, in our absolute discretion, to terminate your access to all or part of the Services with or without notice. Upon such termination or suspension you will be denied access to any information you or files you have stored on the LONGDAN websites or server and this may not be retrieved later. 13.2 LONGDAN reserves the right in our absolute discretion to discontinue the sites or services, or any part thereof, at any time, with or without notice. MISCELLANEOUS 14.1 The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. LONGDAN shall not be liable for any failure to perform any obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference). 14.2 If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. 14.3 This Agreement is not assignable, transferable or sub-licensable except with our prior written consent. 14.4 This Agreement shall be governed by and construed in accordance with the laws of England and the parties submit to the non-exclusive jurisdiction of the High Court of London. 14.5 In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and legal fees. 14.6 We may update these Terms and Conditions from time to time and any changes will be notified to you via the e-mail address provided by you on registration or via a suitable announcement on the Longdan.co.uk Site. The changes will apply to the use of the Longdan.co.uk after we have given notice. If you do not wish to accept the new Terms and Conditions you should not continue to use the Longdan.co.uk and the Online Stores. If you continue to use the Longdan.co.uk after the date on which the change comes into effect, your use of the Longdan.co.uk indicates your agreement to be bound by the new Terms and Conditions. 14.7 No agency, partnership, joint venture, or employment is created as a result of this Agreement. 14.8 Special offers available at Longdan’s stores and online at Longdan.co.uk. Limited availability at Longdan express stores. Lower prices not available in all stores. For offer dates, check online or instore. All items subject to availability. Online deliveries must be received within the offer dates for the offer prices to be valid. The law does not permit the sale of alcohol to persons under the age of 18. The Licensing Act 1964 does not permit the sale of alcohol after 11pm or before 8am. The Licensing (Scotland) Act 1976 does not permit the sale of alcohol before 8am and after 10pm Monday to Saturday or before 12.30pm and after 10pm on Sunday.
